1. Acceptance of Terms

By downloading, installing, or using the Cliffy mobile application ("App") and related services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the App. These Terms constitute a legally binding agreement between you and ULK ("Cliffy", "we", "us", or "our").

2. Description of Service

Cliffy is an AI-powered accounting and bookkeeping application designed for Indian small businesses. The App provides transaction capture from images, digital ledger management, financial reports, PDF statements, digital business cards, and related features.

3. Account Terms

• You must provide a valid phone number to create an account.
• You are responsible for maintaining the security of your account and device.
• You are responsible for all activities that occur under your account.
• You must be at least 18 years of age to use the Service.
• One person or business may maintain only one active account.

4. Acceptable Use

You agree NOT to:

• Use the Service for any illegal or unauthorized purpose
• Attempt to reverse engineer, decompile, or extract source code from the App
• Upload content that is fraudulent, misleading, or harmful
• Interfere with or disrupt the Service or servers
• Use automated systems or bots to access the Service
• Resell or redistribute the Service without permission

5. Your Data

You retain ownership of all business data you enter into Cliffy. By using the Service, you grant us a limited license to process, store, and transmit your data solely for the purpose of providing the Service to you. This includes sending images to third-party AI services for text extraction. See our Privacy Policy for full details on data handling.

6. AI-Generated Content

The AI-powered features of Cliffy (including transaction extraction, insights, and suggestions) are provided on a best-effort basis. While we strive for accuracy, AI outputs may contain errors. You are responsible for reviewing and verifying all AI-generated transaction data before relying on it for financial decisions.

7. Intellectual Property

The Cliffy App, including its design, code, AI models, branding, and content, is the intellectual property of ULK. You may not copy, modify, distribute, or create derivative works from any part of the Service without our written permission. The "Cliffy" name, logo, and associated branding are trademarks of ULK.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Cliffy and ULK shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service. Our total liability for any claim arising from these Terms shall not exceed the amount you paid us (if any) in the 12 months preceding the claim.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not warrant that the Service will be uninterrupted, error-free, or completely secure. Cliffy is not a substitute for professional accounting or tax advice.

10. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. You may delete your account at any time through the App. Upon termination, your right to use the Service ceases immediately. We will delete your data in accordance with our Privacy Policy.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes through the App. Your continued use of the Service after changes are posted constitutes acceptance of the modified Terms.

12. Governing Law & Dispute Resolution

These Terms are governed by the laws of India. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts in New Delhi, India. Before initiating legal proceedings, you agree to attempt resolution through good-faith negotiation for at least 30 days.
